Czech Baros is suffering from a groin injury while France's Toulalan has a knee injury.
"Jeremy had an scan that showed the tendon had not healed yet. He won't be in the squad and Milan won't be included either," coach Alain Perrin told the club's Web site (www.olweb.fr)
Perrin said midfielder Hatem Ben Arfa, who picked up an ankle injury in last week's 3-1 victory at Caen in the League Cup, would take a fitness test later on Tuesday.
Six-times French champions Lyon are third in Group E with three points from three matches while German champions VfB have lost their three opening games.
